Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form an agreement between you and RevSpinup governing your access to and use of our website, dashboard, and API (together, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of an organization, you're agreeing on its behalf and confirming you have authority to do so.

2. Description of the service

RevSpinup provides a runtime for configuring, testing, and deploying AI agents, including tool integrations, MCP server connections, and access to third-party model providers. Features, limits, and available integrations may change as we improve the Service.

3. Accounts

You're responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.

4. Acceptable use

You agree not to use the Service to:

• Build or deploy agents that violate applicable law, infringe others' rights, or facilitate fraud, harassment, or malicious activity.
• Attempt to circumvent rate limits, security controls, or usage restrictions.
• Reverse-engineer the Service beyond what's permitted by law, or resell access without our written consent.
• Use the Service to generate content that violates the acceptable use policies of connected third-party model providers.

5. Your content and AI-generated output

You retain ownership of the prompts, documents, and data you submit ("Your Content"). You grant us a limited license to process Your Content solely to operate and improve the Service. Because agent outputs are generated by third-party and self-hosted models, we cannot guarantee their accuracy, and you're responsible for reviewing output before relying on it or sharing it downstream.

6. Third-party providers and tools

The Service lets you connect third-party model providers, MCP servers, and tools. Your use of those integrations is also subject to the third party's own terms, and we are not responsible for their availability, accuracy, or handling of data you route through them.

7. Fees and billing

Some parts of the Service are offered free of charge; others are billed according to the plan you select. Fees are described at checkout or in your workspace billing settings and are non-refundable except as required by law.

8. Intellectual property

RevSpinup and its licensors retain all rights, title, and interest in the Service, including its software, branding, and documentation. Nothing in these Terms transfers any such rights to you beyond the limited right to use the Service as intended.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service, or any agent built on it, will be uninterrupted, error-free, or free of harmful content.

10. Limitation of liability

To the maximum extent permitted by law, RevSpinup will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, with notice where reasonably practicable.

12. Changes to these terms

We may update these Terms from time to time. If changes are material, we'll provide notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which RevSpinup is incorporated, without regard to conflict-of-law principles.
